Terms and Conditions

  1. General. By agreeing to these general terms and conditions for the use of the websites sihtgrupid.ee and targetgroups.eu (hereinafter the Website) of Bisnode Estonia AS (hereinafter Bisnode) (hereinafter General Terms and Conditions), the user declares having read the General Terms and Conditions and agreeing to them.

  1. The service. Bisnode provides the used with business information services and enables the user to make queries to various databases via Bisnode. The user undertakes to pay Bisnode the agreed amount for the services received and to use the received data in compliance with the General Terms and Conditions, the terms of the contract signed with the user, and the terms and prices published on the website.
  2. Signing up as a user. Upon signing up as the Website’s user, the user undertakes to present complete and truthful data about itself and to prevent the username and the password received upon signing up from becoming known to third parties. The user shall be liable for any and all actions performed on the website using the user’s login data.
  3. Paid services. Bisnode’s paid services are the company databases downloadable form the Website in the formats of csv and txt (hereinafter the Database), intended for marketing activities. Upon the user ordering those services, Bisnode and the user shall sign a new contract for every occasion of generating a Database (hereinafter a Contract). A Contract shall be signed upon the payment being received on Bisnode’s account or upon the user’s confirmation of the order if the user places the order using the credit transferred to its account. The Contract shall be subject to these General Terms and Conditions.
  4. Ordering target groups. Orders shall be placed via the website as single-use orders, in each case for a payment or for the credit transferred to the user’s account. Before ordering a target group, the user must enter or confirm its login data, except if the target group is ordered for credit transferred to the logged-in user’s account.

In order to place an order, the user must pay Bisnode for the service, using online banking, making a wire transfer based on an invoice, or using the credit transferred to its user account. After signing the Contract, the Database becomes available to the user. The user ordering the Database for user account credit can download it immediately after the order is confirmed; an order paid for via online banking becomes available immediately after the bank sends the signal of payment; upon paying an invoice via wire transfer, the Database shall be sent to the user’s e-mail address within two business days after the payments is received on Bisnode’s bank account. The Database shall remain available on the user’s account and can be downloaded repeatedly if the user is logged into its account.

  1. Paying. For the ordered target group, the user shall pay Bisnode pursuant to the price list in force and to the content of the service ordered. The prices of target groups are provided on the Website. The final price including the possible applicable taxes is displayed for the user in the course of placing the order and before the user’s confirmation of the order.
  2. Right of withdrawal. Bisnode’s paid target group services are not subject to the consumer’s right of withdrawal set out in the law because Bisnode performs its obligations in full immediately after the signing of the Contract.

If a user being a consumer has ordered other services from Bisnode then the user shall have the right of withdrawal stemming from the law. Under the right of withdrawal, the user being a consumer can withdraw from a contract signed for another service, doing so within 14 days after the signing of the contract for another service. Bisnode shall return the paid amount to the user immediately, but not later than within 14 days after the receipt of the withdrawal statement.

  1. Prohibited activities. The user shall be prohibited from using the services for an illegal, damaging, misleading, fading or other malicious intent. Among the rest, the user shall be prohibited from using automatic programs, robotic software and other methods enabling mass copying of data on the website. The user shall be prohibited from forwarding material or content containing viruses or other malicious code, or content violating the intellectual property rights or other rights of Bisnode or third parties.
  2. Intellectual property. The intellectual property rights related to the service (including patents, trade marks, service marks, logos, authorship rights, moral rights, knowhow, domain names and other rights, around the world, registered or unregistered) shall remain Bisnode’s property. These General Terms and Conditions do not grant the user any rights to use Bisnode’s intellectual property without Bisnode’s prior express consent.

Users are inter alia prohibited from using and disclosing Bisnode’s business name, domain name, registered and unregistered trademarks, and Bisnode AAA rating’s logo without Bisnode’s prior written consent.

  1. Personal data processing. Bisnode shall process a user’s personal data for the sole purpose of providing the service chosen by the user. The processing of personal data is set out in more detail in the Privacy Terms: https://krediidiraportid.ee/andmekaitsetingimused
  2. Limited responsibility. Bisnode gathers and receives the data being the subject of the Services from national databases, from official registries, and from third parties being in contractual relationship with Bisnode, therefore Bisnode shall not be responsible for the correctness, accuracy and timeliness of the data sent to Bisnode, nor for any damage stemming from the use of those data (incl. lost profit). Bisnode shall not be responsible for the correctness of the data, nor for the decisions made by the user on the basis of the data presented in the Database. The user confirms being aware and taking into account upon using Bisnode’s services that any information and data presented in the course of providing the service may undergo significant changes at any point in time and without advanced notice and that this does not depend on Bisnode.

Upon the service not complying with the Contract’s terms, a user being a consumer can utilise the means of legal protection granted by the law.

  1. Term and termination. The user understands and agrees that Bisnode may stop (permanently or temporary) the provision of the service at Bisnode’s sole discretion without advance notice it the user violates these General Terms and Conditions. If the user violates these General Terms and Conditions and Bisnode decides to terminate or suspend the user’s account or to cancel the user’s order then Bisnode shall not have an obligation to compensate any fees that the user may have already paid.

Additionally, Bisnode may temporarily suspend access to the service and to stop the provision of the service, informing the user thereof thirty (30) days in advance.

  1. Amending the General Terms and Conditions. Bisnode retains the right to make changes in any part of these Terms and Conditions at any time. Bisnode shall inform the user about such changes for a reasonable amount of time in advance. If the user does not agree to those changes or to any specific change, the user may not be able to continue using the Service.
  2. Applicable law and the solving of disputes. These General Terms and Conditions shall be subject to the law of the Republic of Estonia. In case of any disputes stemming from these General Terms and Conditions or being related thereto, please contact Bisnode. Any and all disputes shall be ultimately resolved by Harju County Court in Tallinn. If the user is a consumer then the user can turn to the Consumer Dispute Committee (Pronksi 12, 10117 Tallinn, e-mail: avaldus@komisjon.ee, telephone: 6 201 920).
  3. Complete agreement. These General Terms and Conditions together with the Contract make up the complete content of the agreement between the user and Bisnode, being superior to and replacing all earlier spoken and written agreements applicable to the Contract’s content.
  4. Separability. If one or several of the clauses of these General Terms and Conditions turn out to be legally void, invalid, unlawful or unenforceable in any part then this shall not affect or damage the validity, lawfulness or enforceability of the rest of these General Terms and Conditions.
  5. Assignment. Bisnode may assign any or all of its rights stemming from these General Terms and Conditions to any third party without requiring the user’s consent, except in cases where it could reduce the probability of fulfilling the Contract.
